Chrysler Sale Cost Daimler $673m

The private ownership of DaimlerChrysler?s American division may be just what the doctor ordered for Chrysler?s fast recuperation. After it was agreed that the Cerberus Capital Management LP will purchase 80.1 percent of Chrysler?s shares for $7.4 billion, it appears now that Daimler will just be receiving $673 million. This is because part of the sales proceeds will back Chrysler?s turnaround plan.

For the past couple of decades, auto industry?s experts have predicted a major downsizing of the U.S. auto industry because of the plant?s overcapacity coupled with shrinking sales, increasing production costs, and other notable factors. Automakers have tried to ward off this inevitable transformation by attempting what now can be deemed as a nip and tuck. But cosmetic surgery is not enough for Chrysler. Efficient Chrysler brake pads are inevitable to make a timely stop so as to end sales doldrums.

It can be recalled that when Daimler-Benz mounted a $36 billion takeover of the Chrysler Corp. in 1998, the German carmaker called it “a merger of equals.” In May, when DaimlerChrysler announced plans to rid itself of Chrysler, the Teutonic term of art was “a $7.4 billion sale.”

Daimler CEO Dieter Zetsche denied that he was paying Cerberus to take Chrysler. “Cerberus invested $7.4 billion into this transaction, which obviously is not any form of being paid,” he said. “In essence, they paid us to take the company,” Cerberus chief Lenard B. Tessler told his shareholders recently, as reported by the Wall Street Journal online. “I’m not talking out of school.”

“We welcome Chrysler into the Cerberus family of companies and believe Cerberus will be a good home for Chrysler. Cerberus believes in the inherent strength of U.S. manufacturing and of the U.S. auto industry. Most importantly, we believe in Chrysler,” said John W. Snow, the Chairman of Cerberus.

Snow continued, “We would like to thank DaimlerChrysler for their good stewardship of this American icon over the last decade. We are aware that Chrysler faces significant challenges, but we are confident that they can and will be overcome. A private investment firm like Cerberus will provide management with the opportunity to focus on their long-term plans rather than the pressures of short-term earnings expectations.”

Zetsche was quoted as saying: ?We?re confident that we?ve found the solution that will create the greatest overall value ? both for Daimler and Chrysler. With this transaction, we have created the right conditions for a new start for Chrysler and Daimler.”

Critics in the industry said that it was hard enough for Zetsche and his board to face the reality that Daimler paid $36 billion for Chrysler while Cerberus was putting up just $7.4 billion. Even if you add the $11 billion in profit, Zetsche said that Chrysler has provided Daimler through the years, that is still a $17.6 billion loss, they added. But admitting that the company is not going to get any hard cash when the sale closes in July, just 19.9?percent of the new Chrysler, would have been humiliating. So Dieter slapped on a smile and ended up smiling all the way to the bank, critics noted.

The extravagant price tag also signaled that Cerberus paid serious money in a serious bid to repair the ailing Chrysler. Some critics said that maybe this deal really is win-win. Daimler gets out from under Chrysler and the company?s stock increases. The private equity firm gets to pick up a popular automaker at a bargain and gets leverage to cut costs. What is certain is that it is only fitting that Daimler had to throw in its own cash to make the sale. After all, Chrysler is the company that invented the rebate, they stressed.

Nissan, Renault Seek Stake in Chrysler

Chrysler has been in the news a lot lately, thanks mostly to owner Cerberus Capital Management publicly pronouncing that the automaker is for sale. Just one year after acquiring Chrysler from the company now known as Daimler AG, Cerberus wants to ditch Chrysler.

General Motors is the one Chrysler suitor who has been getting all of the attention lately, but that arrangement may not be made. Cerberus already owns 51% of GMAC, which is GM’s financing arm, and would love to purchase the remainder from GM. In exchange, Cerberus would unload Chrysler to GM who would presumably keep Jeep while cutting the Chrysler and Dodge brands.

The problem with General Motors is that the automaker is struggling financially itself and finding it difficult to arrange the financing to acquire Chrysler. Part of the acquisition costs of taking over Chrysler would be the cost to shut down excess plants while providing lucrative, but costly severance packages to tens of thousands of workers. GM is in no position to buy Chrysler unless the federal government intervenes. Right now, the feds are busy putting out fires caused by the mortgage meltdown, and has been paying scant attention to what is unfolding in Detroit.

The newest wrinkle in the Chrysler sale is that Nissan and Renault are reportedly interested in getting a piece of Chrysler. Right now, French automaker Renault owns 44% of Nissan, while Japanese automaker Nissan owns 15% of Renault. The two automakers have a unique business relationship that has successfully married two dissimilar brands with both companies sharing one CEO, Carlos Ghosn.

The terms of the Nissan-Renault bid have not been completely spelled out, but it would likely involve having Renault buying 20% of Chrysler and having Nissan foot the bill. Renault has several billion dollars of debt to contend with, while Nissan is awash in cash and could provide the funding for Renault.

An arrangement between Nissan, Renault, and Chrysler makes sense for two reasons:

Nissan and Chrysler have several new agreements already in place. These include Nissan building a small car for Chrysler’s Latin American network as well as providing a midsize car for Chrysler through the one of the company’s Tennessee factories. Chrysler has promised to provide the platform for the next generation Titan pick up truck which will likely be updated in 2011.

Renault could use Chrysler as a way to reenter the highly competitive US market. Back during the 1980s, Renault owned American Motors Company – which at that time owned Jeep – but sold the company to Chrysler who kept Jeep while tossing the AMC brand. Renault could supply some models for Chrysler and Dodge or even reintroduce its own branded cars through the Chrysler LLC dealer network. For its part, Renault could gain access to selling Jeep models across Europe.

As for GM, the company may not be left entirely out in the cold should Renault and Nissan get their way. Cerberus has been looking at acquiring the rest of GMAC, something GM could allow in exchange for some much needed cash and perhaps their own stake in Chrysler. Whatever takes place will likely happen fast – Chrysler being on the ropes does nothing to bolster consumer confidence, a surefire way to scare off potential buyers who are already being hammered by the worst financial crisis of this young century.

Chrysler Post Bail Out: What’s Next?

In all likelihood, the Bush Administration will approve of stop gap funding to help Chrysler and General Motors through the next few months. Indeed, with ten billion dollars in loan money to be earmarked, both car companies should be able to make it through the end of February 2009 without needing additional federal funding. By then, the Obama Administration will be in charge and a new Congress seated.

Depending on the terms of the agreement, Chrysler will quickly be faced with determining what sort of direction the company will go in. If a ?car czar? is appointed, that person may have broad power including deciding whether a company should be forced into bankruptcy or not. General Motors looks to be in better shape to delay that event from happening, but Chrysler likely will have to make some drastic decisions over the next few months in a bid to ensure its survival.

Some of the changes Chrysler will be making could be government mandated, such as having to lay off office staff, closed down excess production, perhaps even looking for a buyer for the company. Regardless, I see the following scenarios unfolding for Chrysler in 2009:

Models Canceled ? Within a few months of their release, Chrysler quickly canceled hybrid versions of its Chrysler Aspen and Dodge Durango sport/utility vehicles. Chrysler said that production would shift to the automaker’s large pickup truck, the Dodge Ram, but that isn’t likely to occur anytime soon as gas prices remain below two dollars a gallon nationwide. Also, don’t expect Chrysler to have the funds to bring a single one of its trio of electric vehicles to market. Some people think that they are vaporware to begin with ? I’m inclined to agree.

Projects Dropped ? Chrysler had arranged to have Chery Automotive of China build for it a small car, but that project has since been dropped due to Chrysler’s financial difficulties. Look for Volkswagen and Chrysler to revisit the Routan project with VW pulling out if Chrysler’s future looks especially bleak.

Viper Sold ? Chrysler has been shopping the Dodge Viper for several months now with no buyer announced. Expect that an European automaker will purchase the ?brand? for a song and move operations overseas.

Jeep Marketed ? As a last ditch effort, look for Chrysler to offer Jeep for sale to the highest bidder. Parent Cerberus Capital Management, LP is an equity brokerage company, a business whose sole design is to purchase hard assets (companies), build them up and sell them off. Jeep is the only one of Chrysler’s three remaining brands with a marketable book value ? look for someone to buy the brand in a bid to gain access to the US market.

Assets Sold ? Should things get really bad, look for Chrysler to sell off its remaining assets under the jurisdiction of the bankruptcy courts. Few Chrysler plants are worth that much money and no company wants to inherit the automaker’s legacy costs. However, selling off select assets such as their minivan program (Ford or GM would want them), the Dodge Ram (Nissan could be interested), even finding a home for the iconic Dodge Challenger may be possible. As mentioned, Jeep would find a home under the umbrella of some other company.

Chrysler’s chances of surviving on their own are between slim and none, but much closer to the latter than the former. If GM is able to come up with a healthy plan going forward, they’ll once again make a pitch for Chrysler in exchange for selling GMAC (or a portion thereof) to Cerberus.

If all of this sounds complicated, it is. The US auto industry is in a mess and it’ll take some extraordinary action from involved people to fix things over a lengthy period of time.
